1. How It Works
Meme Pools is a platform that enables users to launch and discover token collections. All Collection creations are fair, meaning there is no pre-sale, no insider trading, and no manipulative dynamics. Each Collection has a fixed one (1) billion token supply.
Each token is created by you when you initiate the creation of a smart contract on the selected public blockchain. Once you create the token, the code becomes immutable and cannot be changed by you or anyone else. Additionally, the supply and trading dynamics of any token on Meme Pools follow the fixed rules of the relevant blockchain protocol, which apply to every creator and token. These rules cannot be arbitrarily changed to prevent individuals from selling their tokens. However, please note that token prices can still collapse due to market conditions, and you willingly accept all risks involved. You agree not to hold Meme Pools responsible for any losses you may incur.
If Meme Pools detects or suspects that you are using the software interface for fraudulent purposes or in violation of any law, or in a way that violates these Terms, Meme Pools reserves the right to modify information related to your token or remove public access to the token at any time, at the sole discretion of the Interface Providers (as defined below).
2. Binding Agreement
By accessing the Meme Pools interface, you agree that you have read, understood, and accepted all these Terms of Use. If you do not agree to these Terms, you are prohibited from using the Meme Pools interface. Additionally, you agree not to hold the Interface Providers responsible for any losses suffered from using the interface.
Age and Legal Requirements
You may not use the Meme Pools site if:
You are not at least 18 years of age or of legal age to form a binding contract in your jurisdiction.
You are a citizen, resident, or located in a country where the use of the site is illegal or where it would subject Meme Pools to registration or legal compliance requirements.
You are otherwise prohibited from using this site by applicable law.
Supplemental terms, conditions, or policies that may be posted on the site from time to time, including but not limited to the Privacy Policy, are incorporated by reference into these Terms. We reserve the right to modify these Terms at any time for any reason. Changes will be indicated by updating the “Last Updated” date on the Terms of Use page. Your continued use of the site after any such updates constitutes your agreement to the revised Terms.
3. Access to and Use of Meme Pools
To access and use the Meme Pools interface, you must connect a valid token wallet. You are solely responsible for the security of your wallet and any associated private key(s). You must ensure the confidentiality of your private key(s) and take reasonable precautions to prevent unauthorized access.
By launching a token on Meme Pools, you agree to the following:
All content you upload to the site is owned by you and does not violate the intellectual property rights of others.
The content is not obscene, hateful, or inciting violence.
You will not describe the token in a way that encourages adding utility to the token, which may lead others to expect long-term value creation.
You will not engage with the site through automated means (e.g., bots, scripts).
You will not attempt to bypass security features or attack the site or any underlying blockchain network.
You will not introduce any malicious or harmful material to the site or related systems.
You will not defraud, manipulate, or harm others through the site.
You will not harm the reputation of Meme Pools or its operators.
You will not share illegal or offensive content, misuse private information, or encourage others to engage in illegal activities.
You will not use Meme Pools to engage in any unlawful activities.
Once a token is created, neither you nor the Interface Providers can undo the creation. However, Meme Pools reserves the right to remove the token from visibility or modify its priority on the platform at any time for any reason.
4. Interface Provider Obligations
Meme Pools strives to keep the interface available at all times, but access may be temporarily suspended for maintenance, protection from security threats, or due to unforeseen events beyond our control.
5. Modifications and Interruptions
We reserve the right to modify, update, suspend, or discontinue any part of the site at any time without notice. We will not be liable to you or any third party for any such changes, including price changes or service interruptions.
6. Fees
Transaction fees will be collected for all trades conducted through the Meme Pools site. We reserve the right to alter these fees at any time.
7. Privacy Policy
By using the site, you agree to be bound by our Privacy Policy, which is posted on the site. Please be advised that Meme Pools is based in the U.S. If you access the site from another jurisdiction, you are consenting to the transfer of your data to and processing in the U.S., subject to applicable laws.
8. Term and Termination
These Terms remain in effect while you use the site. Meme Pools reserves the right to, at any time, limit, deny, or terminate your access to the site or delete any content you have posted, without notice or liability. If your access is blocked for any reason, you agree not to attempt to circumvent that block.
9. Blockchain Risks
You acknowledge that blockchain technology carries significant risks, including security vulnerabilities, market volatility, and potential loss of funds. You understand that tokens may have no inherent value and that their prices can fluctuate based on various factors. Blockchain transactions are often public and can be viewed by others.
By using Meme Pools, you represent that you are familiar with blockchain technologies and the risks associated with them, including hacking and the loss of funds.
10. Warranty Disclaimer
The site is provided on an "as-is" and "as-available" basis. You agree that your use of the site is at your own risk. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Meme Pools is not responsible for any errors, losses, or damages arising from your use of the site.
We do not provide professional advice, including tax, legal, or financial advice, and do not act as a fiduciary.
11. Limitation of Liability
To the fullest extent permitted by law, Meme Pools, its affiliates, and its representatives shall not be liable for any indirect, consequential, or punitive damages, including lost profits or data, arising from your use of the site.
12. Indemnification
You agree to indemnify and hold Meme Pools harmless from any claims, liabilities, or expenses arising from your use of the site, your violation of these Terms, or any infringement on the rights of others. Meme Pools reserves the right to assume the defense of any such claim at your expense.
13. Dispute Resolution
Any disputes arising under these Terms will be governed by the laws of the United States, and any legal action must be brought in the courts of the United States.
14. Miscellaneous
OFAC Regulations: You represent that you are not subject to U.S. or E.U. sanctions and are not accessing the site from a prohibited jurisdiction.
Taxes: You are responsible for any taxes related to your tokens.
Severability: If any part of these Terms is found to be unlawful, the rest of the Terms will remain in effect.
Waiver: No waiver of any term shall be construed as a waiver of any other term.
Entire Agreement: These Terms represent the entire agreement between you and Meme Pools.
Electronic Communications: By using the site, you consent to electronic communications and agree that they satisfy legal requirements for written communication.
